Engagement Agreement for Matchmaking Services

This Engagement Agreement for Matchmaking Services (“Agreement”) is entered into between Client and Matchmaker as of the date signed below. By signing this Agreement the Client engages the Matchmaker to provide the services described herein and agrees to the terms below.

1 Definitions and Scope of Engagement

•Matchmaker means Globalmatchmake LLP

•Client means the person who signs this Agreement to receive Globalmatchmake LLP services.

•Services means personal matchmaking services including intake assessment, candidate search and screening, match introductions, date coordination support, and follow-up coaching as agreed in the Client’s selected package.

•Excluded Services means background investigations beyond basic verification, legal or medical advice, employment services, or any activity that requires a licensed professional not retained by the Matchmaker.

This Agreement governs the specific Services described in the Client’s invoice or service package and any supplemental written addenda.

2 Services Provided and Performance

•Scope The Matchmaker will use reasonable skill, care and professional judgment to identify and introduce prospective partners consistent with the Client’s stated preferences and eligibility criteria recorded during intake.

•No Guarantee The Matchmaker does not guarantee a specific number of matches, a relationship outcome, marriage, nor any particular emotional result. Outcomes depend on many variables outside the Matchmaker’s control.

•Timing The Matchmaker will use commercially reasonable efforts to present matches within timeframes set in the Client’s package. Timeframes are estimates only.

•Third Parties Matches may be sourced from third-party databases, partner agencies, referrals, or independent individuals. The Matchmaker does not control third-party conduct.

3 Fees, Payment, Cancellations and Refunds

•Fees The Client will pay the fees specified in the invoice or package schedule. Fees are due in accordance with the schedule stated on the invoice.

•Deposit Any non-refundable deposit stated in the invoice is earned on receipt and will be credited to the total fee.

•Refunds Except as expressly provided in this Agreement, fees are non-refundable once introductions have commenced or once the intake interview and profile creation are completed. Partial or pro rata refunds may be issued only where expressly agreed in writing by the Matchmaker.

•Additional Costs Client is responsible for out-of-pocket costs reasonably incurred with prior notice, including testing, professional photography, venue rental for events, or paid background checks if requested by Client.

•Late Payment Late payments accrue interest at the lesser of 1.5% per month or the maximum permitted by law and may result in suspension of Services.

4 Confidentiality and Personal Data

•Confidentiality The Matchmaker will keep Client identity, contact details and sensitive personal information confidential and will not disclose such information to third parties except (a) with Client’s prior written consent, (b) to effectuate introductions, (c) as required by law, or (d) to contracted service providers who have agreed to confidentiality.

•Profile Material Client consents to the preparation and sharing of a profile and limited personal information with prospective matches and partner services as necessary to facilitate introductions. The Matchmaker will seek Client approval of profile content prior to sharing.

•Data Use and Retention The Matchmaker will retain Client data for a period necessary to provide Services and comply with legal obligations. Client may request correction or deletion of non legal records in writing; such requests will be considered consistent with operational needs and legal requirements.

5 Client Representations and Obligations

•Accurate Information Client represents and warrants that all information provided is true, current and complete. Client will promptly update the Matchmaker if material facts change, including relationship status.

•Conduct Client agrees to treat matches, the Matchmaker, and staff with respect, to behave lawfully and to avoid harassment, fraud, misrepresentation or any threatening conduct.

•Medical and Legal Disclosures Client will disclose any medical conditions, criminal convictions, or other material facts that reasonably should be disclosed to prospective matches; failure to disclose may lead to immediate termination of Services.

•Use of Introductions Client agrees not to use Matches for business, promotional, exploitative, or coercive purposes. Client will not contact or solicit Matches through the Matchmaker’s networks for non-personal purposes without prior consent.

6 Termination, Liability, Dispute Resolution and Miscellaneous

•Termination by Client The Client may terminate this Agreement in writing. Termination does not entitle Client to a refund except as expressly provided in Section 3.

•Termination by Matchmaker The Matchmaker may suspend or terminate Services for material breach, nonpayment, unsafe or illegal conduct, or if continued performance would be unreasonable; the Matchmaker will provide notice where practicable.

•Limitation of Liability To the fullest extent permitted by law, the Matchmaker’s aggregate liability for any claim arising from or related to this Agreement will not exceed the total fees actually paid by the Client under this Agreement. The Matchmaker will not be liable for indirect, incidental, special or consequential damages, including emotional distress, lost opportunities, or third-party actions.

•Indemnity Client will indemnify and hold harmless the Matchmaker from claims, liabilities or expenses arising from Client’s misrepresentations, unlawful conduct, or breach of this Agreement.

•Governing Law and Jurisdiction This Agreement is governed by the laws of the jurisdiction stated in the invoice or, if none is stated, the Matchmaker’s principal place of business. Any dispute will first be referred to mediation; if unresolved, disputes will be resolved in competent courts in that jurisdiction.

•Entire Agreement This Agreement, together with the invoice and any written addenda, constitutes the entire agreement between the parties and supersedes prior communications. Amendments must be in writing and signed by both parties.

•Severability If any provision is held invalid it will be severed without affecting the remainder of the Agreement.

•Assignment Client may not assign this Agreement without the Matchmaker’s prior written consent; Matchmaker may assign to an affiliate or successor.
